# 公司向DAO转型，荆棘之路 By [Shawn](https://paragraph.com/@dao4ever) · 2022-04-07 --- 现在主流有两种DAO成立方式，一种是实体公司把产品做出来，然后转型为DAO；另一种是直接成立DAO，社区开发产品。 今天想谈一谈第一种方式。最近自己参与的DAO，在讨论如何加快完成实体公司向DAO转型。很多事情，想想特别简单，实际操作全是坑。 ### 1.为啥DAO还要有个法律实体？ 2022年，各个DAO纷纷成立法律实体。先是ENS DAO在开曼群岛成立了非营利组织：ENS 基金会。接着Gitcoin发起了提案，说学习ENS，也在开曼群岛成立Gitcoin基金会。紧接着，SushiSwap也提案要成立基金会。最近的当红炸子鸡ApeCoin，也成立了法律实体ApeCoin基金会。基金会将代表DAO在现实世界行事。 为何最近，这么多知名DAO纷纷寻求成立法律实体？ Gitcoin在提案中做了如下解释： 1>有了Gitcoin基金会，$GTC持有者只需要对DAO的行为承担有限责任；如果没有这么一个法律实体，$GTC持有者个人将承担无限责任； 2>税务考虑。如果没有法律实体，$GTC持有者个人可能需要对DAO的收入纳税，即使这些收入并不分配给个人。 3>签合同。DAO难免要跟其他公司合作，没有法律实体，如何签合同？如何持有知识产权？ \---我个人扩展一下，最近讨论很火的解决contributor医保问题，其实也需要有法律实体。 [ \[Proposal\] The Gitcoin Foundation - A proposal to represent the Gitcoin DAO IRL by a Cayman Islands Foundation ---------------------------------------------------------------------------------------------------------------- Introducing The Gitcoin Foundation - A proposal to represent the Gitcoin DAO IRL by a Cayman Islands Foundation. GitcoinDAO has been around since May 2021. https://gov.gitcoin.co ![](https://storage.googleapis.com/papyrus_images/6aeb47f14b3036fe1eb1ed6ad2462721f7260d371dc6c464144455e1c25a1550.png) ](https://gov.gitcoin.co/t/a-dao-has-no-ceo/9852) 1>2017年，Gitcoin Holdings成立 Kevin Owocki是Gitcoin Holdings的CEO/Founder。 2>2021.5.25，Gitcoin DAO成立。 Gitcoin Holdings作为法律实体发起了Gitcoin DAO。 3>Kevin Owocki带领团队，花了3个月时间，完成了Gitcoin Holdings和Gitcoin DAO的相互独立，至少在业务和运营层面。 Gitcoin Holdings仍然是Gitcoin DAO的法律实体，仍然持有Gitcoin DAO的知识产权和DAO金库的时间锁合约。 Kevin Owocki那段时间给自己提出了100个为什么？天天在Gitcoin治理论坛上发文，探讨合规、权利、义务、责任、群体精神。 4>2022年初，Gitcoin基金会在开曼群岛成立。 5>2022.3.22，Gitcoin DAO投票通过提案，Gitcoin基金会将成为Gitcoin DAO的法律实体。 Gitcoin Holdings旗下的资产将转让给Gitcoin基金会，包括DAO金库的知识产权和时间锁合约。 ### 3.dYdX DAO，公司向DAO转型之路 dYdX是啥，不细说了。又是一个拿空投暴富的案例。 1>2017年，dYdX Trading Inc.成立。 2>2021.8，dYdX DAO成立，其法律实体是dYdX基金会，之前已经在瑞士成立。 dYdX Trading Inc.和dYdX基金会同时存在，dYdX的收入和开发团队都归dYdX Trading Inc.。 跟Gitcoin完全不同，这个阶段，dYdX DAO其实啥用没有。 3>2022.1，dYdX给出了完全去中心化的路线图。 [ dYdX v4 - Full Decentralization ------------------------------- Announcing dYdX V4 - the next version of our protocol, fully decentralized.
