Chapter I General provisions

Securities distribution and transactions outside the People’s Republic of China disrupt the market order in the People’s Republic of China and undermine the legitimate interests of investors in the country, and are dealt with and held liable under the relevant provisions of this Law.

Article 3. Issuance of securities, trading activities must be guided by the principles of openness, equity and fairness.

Article 4. The parties to the securities issue and transaction shall have equal legal status and shall observe the principle of voluntary, remunerated and honest credit.

Article 5. Issuance of securities, trading activities must comply with laws and administrative regulations; fraud, incurrent transactions and manipulation of securities markets are prohibited.
