# GCRx Investor & Friend Update - EO August 2026

*Update for the month of August 2026*

update

---

In August we ran a six-figure SPV for a [private round in robotics and AI](https://app.gcrx.io). From the first conversation to a funded vehicle took **under 72 hours**.

Part of the capital came by wire, part in USDC. Both closed into the same vehicle, on one cap table.

None of that was improvised. Verification, banking and formation run as one process here, so the clock starts when the deal does. We have launched 130+ SPVs.

Have a round closing? The [calculator](https://gcrx.io/#calculator) gives an all-in fee estimate in about twenty seconds. Or [talk it through with us](https://gcrx.io/#get-in-touch). We will tell you straight whether an SPV is the right tool for the round, and what it takes to hit your date.

The money is there. The allocation is not.

The money is not the constraint. KPMG's Venture Pulse puts Q2 2026 at [$227.4 billion across 8,440 deals](https://kpmg.com/xx/en/media/press-releases/2026/07/vc-investment-already-at-five-year-high-of-billions.html), the second-biggest quarter on record. On [Crunchbase's narrower count](https://news.crunchbase.com/venture/global-funding-billion-dollar-deals-august-2026/), August brought $42 billion, up 122% on last August though down 25% on July.

Access is the constraint. Look at two August deals.

Databricks set out to raise $1 billion. Its chief executive says investors put [$15 billion of interest](https://techcrunch.com/2026/08/13/databricks-wanted-to-raise-1b-investors-wanted-15b-it-settled-on-5b-at-a-190b-valuation/) on the table. It [settled at $5 billion, at a $190 billion valuation](https://www.cnbc.com/2026/08/13/databricks-funding-round-190-billion-valuation.html). Most of the money that wanted in did not get in.

OpenAI's [$7 billion tender](https://techcrunch.com/2026/08/10/openai-reportedly-completed-a-7-billion-employee-tender-offer/) was reportedly funded by OpenAI itself, buying back employee stock rather than opening the door to outside investors.

One could not take all the money that wanted in. The other never opened the door. **Demand for access is running well ahead of supply.** That gap is what a properly authorized SPV exists to close.

The SEC is reportedly asking advisers to prove what their SPVs actually hold
----------------------------------------------------------------------------

On 31 August the Wall Street Journal [reported](https://www.investing.com/news/stock-market-news/sec-asks-investment-firms-to-prove-they-have-access-to-shares-in-startups-wsj-reports-4883397) that the SEC has stepped up examinations of firms behind SPVs claiming exposure to private company shares. Advisers are being asked to show that their vehicles really own, or are really exposed to, what they marketed.

This is not new ground. As we [set out in April](https://paragraph.com/@gcrx/gcrx-investor-and-friend-update-apr-2026), no SPV, however clean, is a way around an issuer that has not authorized the transfer.

Anthropic is the one to watch. It [confidentially submitted a draft Form S-1](https://www.anthropic.com/news/confidential-draft-s1-sec) on 1 June, saying only that this gives it the option to go public. As of today nothing is public on EDGAR, and Reuters [reported on 4 September](https://www.investing.com/news/stock-market-news/exclusiveanthropic-ipo-launch-shifts-toward-midoctober-sources-say-4890091) that marketing has slipped to mid-October at the earliest.

It has put its answer in writing. Its own [help centre](https://support.claude.com/en/articles/13704655-unauthorized-anthropic-stock-sales-and-investment-scams) is blunt about SPVs:

> _"We do not permit special purpose vehicles (SPVs) to acquire Anthropic stock and any transfer of shares to an SPV are void under our transfer restrictions."_

Where the shares come from is not the question. Some vehicles buy new shares from the company, others from people who already hold them. Both are routine.

Permission is the question. Companies decide who ends up on their cap table. A vehicle with that approval has a record of it, and of the shares it holds.

Our vehicles are formed in Delaware or the BVI as standard, with subscription documents and KYC/B on every investor: the same standard on every deal, whatever its size. When you have a round to close, [start it with us](https://gcrx.io/#get-in-touch).

_CLARITY Act, 15 September._ The bill would split digital-asset oversight between the SEC and the CFTC. The Senate vote is on [cloture, not passage](https://www.theblock.co/news/regulation/2026-08-08-majority-leader-thune-files-cloture-on-clarity-act-setting-up-sept-15-senate-vote-411211): 60 votes just to move it toward the floor. Stablecoins are not waiting. They already have their own federal statute, the [GENIUS Act](https://www.congress.gov/crs-product/IN12553), which sets federal rules for payment stablecoins and is already law. Whether CLARITY clears or stalls, our ability to take capital in USDC does not change.

_Robinhood Chain._ [Public mainnet on 1 July](https://robinhood.com/us/en/newsroom/robinhood-accelerates-global-expansion-robinhood-chain-mainnet-stock-tokens-agentic-trading/), an Ethereum layer-2 with stock tokens in 120+ countries, though not the US, and restricted in the UK, Canada, Switzerland and the UAE. Read those tokens with care. They are debt securities issued out of Jersey, backed one for one but conveying no ownership of the share.

_Arc._ Circle's [stablecoin-native layer-1](https://www.circle.com/blog/introducing-arc-an-open-layer-1-blockchain-purpose-built-for-stablecoin-finance) is scheduled for public mainnet on 16 September, the day after the CLARITY vote. Fees are paid in USDC. The [founding validators](https://www.circle.com/pressroom/circle-announces-founding-validator-cohort-and-major-integrations-for-arc-ahead-of-september-16-mainnet-launch) include BlackRock, DTCC, Visa and Mastercard.
