We think the genomic testing world could use a little more transparency and emphasis on the rights of individuals to control their data. This initiative would make Cannabis Genome DAO the first digital cooperative to maintain an ownership stake in a physical laboratory. As such, Cannabis Genome DAO would be granted full rights of a member of the company with access to financial reporting and an ability to ensure that the fidelity and transparency of laboratory practices are maintained. The alignment of incentives and governance rights between a community that benefits from using the laboratory, with the governance and incentives of the laboratory operations itself, directly benefits the community and users of the laboratories services.
Funding would go toward purchasing a membership interest in Delta Leaf, which is currently undergoing equity fundraising in pursuit of a traditional VC investment or strategic partnership from another organization. This provides the opportunity for Cannabis Genome DAO to fill that need. Funding from the sale of membership interest in Delta Leaf would be used for improving and expanding their services. These services include an upgrade to the Delta Leaf web app that would enable users to manage their laboratory results using self-custodial web3 wallets with the option to publish directly to the data marketplace being developed by Cannabis Genome DAO. Governance of Delta Leaf would be aligned with the mission and values of Cannabis Genome DAO because members of the latter would exert a significant amount of direct control over the operations of the former.

Cannabis Genome DAO (“CGD”) would purchase a 20% membership interest in Delta Leaf Laboratories LLC (“Delta Leaf”), a California Limited Liability Corporation.
Cannabis Genome DAO (“CGD") is a "nonprofit association" under the Delaware Uniform Unincorporated Nonprofit Association Act, Del. Code Ann. Tit. 6, §§ 1901-1916. CGD is not intended to be, and shall not be deemed to be, a partnership.
Governance of the CGD’s membership interest in Delta Leaf would be managed through the distribution of DLL tokens to members of CGD who contribute to this fundraiser.
The total DLL token supply would exclusively distribute governance rights to CGD members and does not distribute ownership right in Delta Leaf to individual members of CGD.
DLL tokens would not, and will not, represent any financial claim by individual CGD members to potential profit or obligation to potential losses incurred by CGD while CGD is acting as a member of Delta Leaf.
CGD and the CGD treasury would incur all financial profit and loss related to membership of CGD in Delta Leaf. The proceeds of this crowdfund will be sent to the CGD community multi-sig for the explicit purpose of completing the purchase of a membership interest in Delta Leaf as described herein.

Governance of Delta Leaf comprises a subset of the proposed activities encompassed by the CGD Community Hyperthesis. Therefore, the token allocation will primarily be distributed directly to participants in the crowdfunding campaign with only 20% being reserved for community management by CGD itself. This will decentralize governance directly to financial supporters while aligning them with the remaining CGD community who does not participate in the crowdfunding campaign or joins the community later after the campaign ends. Further, an additional 10% will be reserved for incentivizing the ongoing development of infrastructure for the regenerative crypto-economic system proposed in the CGD Community Hyperthesis. This third portion will align the potential success of this crowdfund with the CGD ecosystem in the short term.
